Scope of Agreement

When you, as an individual, submit this Membership Application for the Charterriffic Ownership Choice Program, the terms “you” and “your” refer to you personally. By doing so, you agree to be bound by these Confidentiality Terms.

If you are submitting this Membership Application on behalf of a company or other legal entity (for example, your employer), you represent that you have the authority to legally bind that entity. In this case, “you” and “your” will refer to the company, which will also be bound by these Confidentiality Terms.

Confidentiality of Charterriffic Content

Upon submission of this Membership Application, you may receive proprietary and confidential information from Charterriffic or its affiliates related to the Ownership Choice Program. This may include, but is not limited to, legal agreements, operational details, staff information, advertising and promotional strategies, scheduling methods, training content, software applications, and other non-public materials related to Charterriffic’s business operations (collectively, the “Charterriffic Content”).

You agree to:

• Maintain strict confidentiality of the Charterriffic Content.
• Use the Charterriffic Content solely for evaluating your potential membership and participation in the Ownership Choice Program.
• Not disclose, transmit, copy, or distribute the Charterriffic Content to any third party, except as may be necessary for your spouse, attorney, or accountant to assist in your evaluation, provided they also agree to these confidentiality terms.
• Not use the Charterriffic Content for any purpose outside of evaluating your participation in the Ownership Choice Program, especially not for competitive intelligence or advising any business or organization in a similar or competitive field.

Legal Remedies for Breach

Any unauthorized use or disclosure of the Charterriffic Content is likely to cause economic harm or irreparable damage to Charterriffic. In such an event, Charterriffic reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction, in addition to other remedies.

Term and Survival

These confidentiality obligations will remain in effect indefinitely, or until the Charterriffic Content becomes publicly available without a breach of these terms by you.

Application Review and Jurisdiction

Charterriffic reserves the right to accept or reject any Membership Application for the Ownership Choice Program at its sole discretion. Charterriffic will not be liable for its decisions regarding the Membership Application process. By submitting this application, you waive any claims against Charterriffic related to the application process or related decisions.

These Terms are governed by and interpreted in accordance with the laws of the state of Florida, without regard to conflict of law principles. You hereby consent to the exclusive jurisdiction of the state and/or federal courts in Florida.
